ok this is pissing me off now

whenever i rooboot pc, go online, and open IE - i get this screen pop up, and have to ctrl+alt+del to get rid of it

once its gone, it dont come back till i reboot again

i have a spy ware program and that dont find it, how the hell can i get rid of it?

Assuming it's not the anti-spyware program you're talking about, try AdAware from Lavasoft......sounds like some adware's got into your machine.

ive got one installed - but not that one - ive got that 1 downloaded so i'll give it a try
